RI-2220: Underpayment of Estimated Tax by Corporate Filers (2025)

Rhode Island · RI Division of Taxation · Used for tax years 2025

Rhode Island Form RI-2220 determines whether a corporate filer's 2025 income tax was sufficiently prepaid through withholding or estimated tax payments. It calculates any underpayment and related interest and includes a worksheet for annualized income installments.

Who files this form

Entities use Form RI-2220 to check whether their Rhode Island income tax was sufficiently prepaid through withholding or estimated tax payments. An underpayment may result in an interest charge. The form refers to filers of RI-1120C, RI-1120S and RI-1065.

Complete Part 1 first:

  • If line 4, your 2025 Rhode Island tax minus the pass-through withholding on line 3, is $500 or less, do not complete the rest of the form.
  • If line 6 is zero, you owe no amount under this calculation and need not complete the rest of the form. You must still attach RI-2220 to your Rhode Island return.
  • In Part 3, if line 16 covers line 15 for every installment period, do not complete or file the form unless you report annualized income installments on line 14.

When it's due

For tax year 2025, the form lists these estimated payment due dates:

  • April 15, 2025
  • June 15, 2025
  • September 15, 2025
  • December 15, 2025

For the 2025 underpayment calculation, April 15, 2026 is the final cutoff date shown in Part 4. Part 2 also uses April 15, 2026 to determine the adjustment for early payment.

The supplied text does not state a separate filing deadline for Form RI-2220.

What you'll need

Have these returns and records available for the figures requested on the form:

  • Your 2025 RI-1120C, RI-1120S or RI-1065, including tax, withholding and estimated payment amounts.
  • Your 2024 Rhode Island return for the prior-year tax amount.
  • Records of 2025 estimated tax payments and their payment dates.
  • Records of any 2024 overpayment you elected to apply to 2025.
  • Your business name as shown on the return and federal employer identification number.
  • Taxable income figures for the periods shown in Part 5, if you use the annualized income installment method.

Pass-through withholding is treated as paid evenly during the year unless you can show otherwise.

How to file

  1. Complete Part 1 to determine your required annual payment and whether you need to continue.
  2. Use Part 2 only if you made no estimated payments, or all four estimated payments were equal and paid by the appropriate due dates. You also must not have completed Part 5. Otherwise, complete Parts 3 and 4.
  3. Enter the underestimating interest from line 12 or line 22 on RI-1120C, line 20c; RI-1120S, line 12c; or RI-1065, line 12c.
  4. Attach RI-2220 to your Rhode Island return. The line 22 instructions say to include the charge with your tax balance payment.

Common mistakes

  • Using the shortcut without meeting its conditions. If you do not qualify for Part 2, complete Parts 3 and 4.
  • Using annualized income for only some installments. If you use line 14 for any installment, you must complete and use it for all installments.
  • Completing rows across before finishing a column. Complete Part 3, lines 15–17, for one column before moving to the next. In Part 5, complete lines 23–33 for one column at a time.
  • Forgetting an attachment when no interest is due. If Part 1, line 6 is zero, you must still attach the form. If you use annualized installments and line 17 is zero or less for every period, enter zero on line 22 and file the form with your return.

Questions people ask

How is the required annual payment calculated?

Line 6 is the smaller of 80% of your 2025 Rhode Island tax or your 2024 Rhode Island tax, including zero.

Can I account for income that varies during the year?

Yes. You may complete the annualized income installment worksheet in Part 5. If you use the resulting amount on line 14 for any installment, you must use this method for all installments.

How is pass-through withholding allocated?

It is treated as paid evenly throughout the year unless you can show otherwise. The instructions say to divide the total withholding by four and enter one-fourth for each installment.

What interest rate does Part 4 use?

The stated rate is 12% per year. Part 4 calculates the charge using the underpayment and the applicable number of days.
