RI-1040C: Composite Income Tax Return (2025)
Rhode Island · RI Division of Taxation · Used for tax years 2025
Form RI-1040C is Rhode Island’s 2025 Composite Income Tax Return. It reports Rhode Island source income, computes income tax for qualified electing nonresident members, and records payments, amounts due, or overpayments.
What you'll need
Gather the information and attachments used on the return:
- Federal taxable income from Form 1120S, line 22; Form 1065, line 23; or Form 1041, line 23, plus separately stated income or deduction items on federal K-1s.
- Documentation for income from obligations of states other than Rhode Island, qualifying U.S. government obligation income, and other modifications where the form requests it.
- Form RI K-1 for nonresident withholding received from pass-through entities. Attach the form(s).
- Payment information, including RI-1040C-ES estimated payments, amounts applied from the 2024 composite return, nonresident real estate withholding, and other payments.
- Each qualified electing member’s name, address, Social Security number, Rhode Island source income, and Rhode Island income tax. Attach additional schedules if needed.
- For multistate entities, the Rhode Island and everywhere figures requested in Section C for apportionment.
The form also uses the add-back amount from the 2025 RI Schedule HR1 - Entity on line 2e.
How to file
The form states that Rhode Island has an electronic mandate for filing a return and remitting a payment. It directs filers to the 2025 RI-1040C Instructions for the requirements and how to file and pay. Those instructions were not provided here, and the form does not give a filing website or mailing address.
The return includes an authorized officer’s signature, printed name, date, and telephone number. If there is a total amount due on line 19, complete Form RI-1040C-V.
Common mistakes
Keep these printed reminders in mind:
- Do not overlook the electronic filing and payment mandate. The form refers filers to the 2025 instructions for details.
- Attach Form RI K-1 when reporting nonresident withholding received from pass-through entities.
- Attach documentation for modifications where requested.
- Attach additional schedules for qualified electing member information if needed.
- Entities solely in Rhode Island should enter 1.0000 on line 7, rather than calculate a multistate apportionment ratio.
Questions people ask
What composite income tax rate does the 2025 form use?
Line 9 uses 5.99% (0.0599). Multiply Rhode Island source income on line 8 by that rate.
How does the form account for qualified electing nonresident members?
Line 10 asks for their ownership percentage. If all members are nonresidents, the form says to enter 1.0000. Multiply line 9 by line 10 to calculate their Rhode Island income tax on line 11.
How is the apportionment ratio calculated?
Section C adds the Rhode Island property, receipts, and salaries ratios. Divide that total by 3 or by the number of ratios used, then enter the result on line 27 and Section A, line 7. The form calls for ratios calculated to four decimal places.
What can I do with an overpayment?
Line 21 provides for an amount to be refunded. Line 22 provides for an amount to be applied to 2026 RI-1040C estimated tax. If underestimating interest is due on line 18, the form says to subtract it from the overpayment on line 20.
