REV-861: Schedule DA - Disposition of Assets (REV-861) (Revision)

Pennsylvania · Pennsylvania DOR · Used for tax years 2024, 2025, 2026

Pennsylvania REV-861 Schedule DA reports a corporation’s disposition of assets, including asset costs, sale prices or fair market values, and gains. It also collects information about installment sale receivables, undistributed property, and Pennsylvania property dispositions.

Who files this form

Schedule DA collects information about a corporation’s disposition of assets. The form specifically requires corporations withdrawing from Pennsylvania but continuing operations outside Pennsylvania to provide:

  • Full details of the disposition of Pennsylvania property.
  • Whether Pennsylvania sales will continue after the date of cessation and, if so, how they will be negotiated and by whom.

The form does not give a complete rule for which corporations must file Schedule DA.

What you'll need

Have the corporation’s name, FEIN, and tax year beginning and ending dates ready, along with the asset information requested on the form:

  • Description and cost of each asset as reported on the balance sheets.
  • Sale price or fair market value on the distribution date.
  • Gain on disposition and whether it was reported on federal Schedule D or Form 4797.

Depending on the transactions, the form also requires:

  • Distributed installment-sale receivables: Sale dates, total gain distributed, and a schedule showing the gain reported in net income per books for each year.
  • Liquidation under IRC Section 332: A copy of federal Form 966 included with RCT-101, PA Corporate Net Income Tax Report.
  • Withdrawal from Pennsylvania while continuing operations elsewhere: Details of Pennsylvania property dispositions, copies of federal Schedule D and/or Form 4797 if applicable, and information about any continuing Pennsylvania sales.
  • Real estate distributed or sold within the final tax year: Documentation showing that the title transfer was recorded with the local recorder of deeds.
  • Assets received by anyone other than stockholders and creditors: Each recipient’s name, address, and amount or value received.
  • Undistributed money or property: Its amount, nature, value, and the reason it has not been distributed.

Common mistakes

  • Using cents: The form says to use whole dollars only.
  • Leaving out information because there is not enough space: Include an additional schedule when more space is needed.
  • Omitting the installment-sale gain schedule: Include a schedule showing the amount of gain reported in each year.
  • Missing required attachments: Include federal Form 966 with RCT-101 for a liquidation under IRC Section 332. For real estate distributed or sold within the final tax year, include documentation of the recorded title transfer.
