RCT-103 ML: Mergers or Liquidations (RCT-103 ML) (2025)

Pennsylvania · Pennsylvania DOR · Used for tax years 2025

Pennsylvania Form RCT-103 ML is a supplemental schedule filed with RCT-103 to report net operating losses (NOLs) obtained from another corporation in a merger or liquidation. It identifies the corporation where each loss originated, its FEIN, the tax period, and the loss amount.

Who files this form

Corporations that obtained net operating losses (NOLs) from another corporation through a merger or liquidation must complete RCT-103 ML to support the NOL carryforward allowed for the current tax period.

The acquiring or surviving corporation may be entitled to use those losses, but the department must be notified of the transaction. The NOL transfer in the department’s system is not automatic.

What you'll need

Have your RCT-103 and the following information available:

  • Your corporation’s name, federal employer identification number (FEIN), and tax year beginning and ending dates.
  • The relevant line numbers and NOL amounts from Part B of RCT-103.
  • The name and FEIN of each corporation where the acquired NOLs originated.
  • The beginning and ending dates of the tax period for each listed NOL.
