PA-65 Corp: 2024 PA-65 Corp - Directory of Corporate Partners (PA-65 Corp) (2024)

Pennsylvania · Pennsylvania DOR · Used for tax years 2024

The 2024 Pennsylvania PA-65 Corp, Directory of Corporate Partners, lists a partnership’s corporate partners and reports corporate net income tax withholding for nonfiling corporate partners. It serves as a withholding payment voucher or as a return for partnerships owned 100 perc

Who files this form

For tax year 2024, the following partnerships must file PA-65 Corp:

  • Partnerships sending corporate net income tax withholding for nonfiling C corporation partners subject to Pennsylvania corporate net income tax.
  • Partnerships owned 100% by C corporations. These partnerships use PA-65 Corp as their return and do not file the PA-20S/PA-65 Information Return.

A wholly owned partnership includes one whose owners are C corporations or disregarded entities owned by C corporations.

A partnership with no C corporation partners does not complete PA-65 Corp. Do not use this form for personal income tax purposes.

When it's due

  • 2024 filing and payment: File PA-65 Corp and send required withholding by the 15th day of the fourth month following the close of the reporting period.
  • Weekend or holiday: If the due date falls on a Saturday, Sunday, or business holiday, file no later than midnight on the next business day. The U.S. Postal Service postmark is proof of timely filing.
  • No extension: A federal Form 1065 extension does not extend the PA-65 Corp filing or withholding payment deadline.
  • Follow-up after a federal extension: The 2024 instructions require the applicable PA-65 Corp filing and supporting federal documents within 30 days of filing federal Form 1065. If withholding was too low, send the additional tax within that period.

What you'll need

Gather the following information and documents:

  • The partnership's name, address, nine-digit FEIN, and reporting period.
  • Each corporate partner's name, address, FEIN, filing-compliance status, and any corporate net income tax withheld.
  • A complete federal Form 1065, including all federal schedules and Schedules K-1.
  • PA-20S/PA-65 Schedule H-Corp if the partnership operates wholly within Pennsylvania or both within and outside Pennsylvania.
  • PA-20S/PA-65 Schedule CP for each nonfiling corporate partner. Give that partner a copy, too.
  • A complete PA-20S/PA-65 Information Return, if applicable to a partnership with both corporate and non-corporate partners.

Each corporate partner must provide a signed affidavit every year stating that it is compliant with its RCT-101 filing. Keep these affidavits in the partnership's records, rather than sending them to the department. There is no official affidavit form.

For electronic signatures, the instructions provide two options: PA-8879-P or PA-8453-P. Do not mail these signature forms to the department.

How to file

Complete and sign

Print using black ink and enter whole dollars only. List the required corporate partners, partner counts, total withholding, and Pennsylvania apportionment figure. Use additional copies of PA-65 Corp if you need space for more than three partners.

For paper filing, a general partner, principal officer, or expressly authorized individual must sign by hand and date the return. Mail the signed original, not a photocopy, with the required schedules and federal return.

E-file

Original and amended 2024 PA-65 Corp returns may be filed through IRS Modernized e-File, also called Fed/State e-File, using a Pennsylvania-approved provider.

A third-party preparer who prepared 11 or more PA-65 Corp returns in a calendar year must e-file all such returns in following calendar years. Once subject to this mandate, the preparer remains subject to it.

Electronic withholding payments are available only when filing PA-65 Corp through Fed/State e-File. PA-65 Corp payments cannot be made through myPATH.

Common mistakes

  • Paying for compliant partners: Do not withhold or send payments for corporate partners that are compliant.
  • Sending payment without the form: Sending withholding without PA-65 Corp can delay processing and may result in interest and penalties.
  • Listing the wrong partners: If the partnership has only corporate partners, list every corporate partner on Line 1. If it has another type of partner, list only noncompliant corporate partners on Line 1.
  • Showing withholding for a compliant partner: If the RCT-101 Filed oval is filled in, do not show a withholding amount for that partner.
  • Using a spreadsheet instead of the form: The department will not accept unapproved substitute forms. Use copies of PA-65 Corp or a department-approved form for extra pages.
  • Reducing previously reported withholding on an amended return: The department does not allow an amended PA-65 Corp to reduce withholding reported on the original form.

Questions people ask

Must a partnership wholly owned by compliant C corporations still file?

Yes. A partnership owned 100% by C corporations must file PA-65 Corp. If all corporate partners are compliant and file a Pennsylvania corporate tax return, no tax is due on PA-65 Corp.

What happens if a corporate partner does not provide its annual affidavit?

The partnership is responsible for withholding corporate net income tax. It must file PA-65 Corp with Schedule H-Corp, Schedule CP, and the required federal schedules. A signed affidavit does not remove the withholding responsibility if the department determines that the partner is not compliant.

How is withholding calculated for 2024?

The instructions calculate withholding using total federal income from the federal Schedule K-1, multiplied by the Pennsylvania apportionment percentage from Schedule H-Corp, multiplied by the 2024 corporate tax rate of 8.49%.

Can the partnership receive a refund of excess withholding?

No. The corporate partner must claim the overpayment on its RCT-101. The department does not refund excess corporate net income tax withholding to the partnership.

Does withholding replace the corporate partner's RCT-101 filing?

No. Corporate partners are not exempt from filing RCT-101 because the partnership withheld tax. The department credits withholding to the corporate partner's account and may issue an estimated assessment if the partner fails to file a required RCT-101.
