PA-20S/PA-65 ES (P/S): 2024 PA-20S/PA-65 ES Partnership and PA S Corporation - Declaration of Estimated Withholding Tax for Partnerships and S Corporations (PA-20S/PA-65 ES (P/S)) (2024)

Pennsylvania · Pennsylvania DOR · Used for tax years 2024

The 2024 PA-20S/PA-65 ES (P/S) is a payment coupon partnerships and Pennsylvania S corporations use to remit nonresident withholding tax. It records the entity’s information and payment amount and includes a worksheet to calculate and track withholding for the year.

Who files this form

Partnerships and PA S corporations use PA-20S/PA-65 ES (P/S) to remit nonresident withholding tax payments.

These entities must withhold and remit Pennsylvania personal income tax on taxable Pennsylvania-source income allocated to nonresident partners, shareholders or members. The entity and its nonresident owners are jointly liable for tax on that income.

Withholding does not change the nonresident owners’ filing requirements or tax liability.

When it's due

For tax year 2024, the form gives these withholding payment deadlines:

  • Calendar-year filers: April 15 following the end of the taxable year.
  • Fiscal-year filers: The 15th day of the fourth month after the taxable year closes.

The department encourages quarterly payments throughout the tax year using PA-20S/PA-65 ES (P/S).

Failure to remit withholding by the 15th day of the fourth month following the taxable year can result in a penalty of 5% per month or part of a month, up to 50% of the withholding due.

What you'll need

Have the following information ready for the payment coupon:

  • The partnership’s or PA S corporation’s FEIN, name, address and phone number.
  • The payment amount and applicable declaration of tax.
  • Beginning and ending tax-period dates, for fiscal-year filers only.
  • A check or money order if paying by mail.

To complete the final withholding worksheet, use the 2024 PA-20S/PA-65, PA Schedules NRK-1, Schedule OC for allowable credits, and records of withholding already paid.

Keep the withholding worksheet for your records. Complete Schedule NW and include it with the annual PA-20S/PA-65.

How to file

Electronic payment: The form directs taxpayers to mypath.pa.gov and “Make a payment” to pay by electronic funds transfer. Payments of $15,000 or more must be made electronically.

Payment by mail:

  1. Use a separate PA-20S/PA-65 ES (P/S) coupon for each payment.
  2. Complete all required information, including the entity’s FEIN, payment amount and fiscal-year dates if applicable.
  3. Make the check or money order payable to PA Department of Revenue. Write the entity’s FEIN and “2024 Nonresident Tax Payment” on it.
  4. Do not staple or attach the payment to the coupon. Mail both to:

PA DEPARTMENT OF REVENUE

PO BOX 280403

HARRISBURG PA 17128-0403

Final withholding payments should be remitted with PA-20S/PA-65, or REV-276 for an extension or short-period return.

Common mistakes

  • Using an owner’s Social Security number: Use the partnership’s or PA S corporation’s FEIN instead.
  • Leaving required fields blank: Complete the coupon, including applicable fiscal-year information and the payment amount and/or declaration of tax.
  • Attaching the payment: Do not staple or attach the check or money order to the coupon.
  • Paying $15,000 or more by a nonelectronic method: This triggers a penalty of 3% of the payment, up to $500.
  • Reducing withholding because an owner made estimated payments: The entity may not reduce its withholding requirement by those payments.
  • Omitting Schedule NW from the annual return: It must be completed and included with PA-20S/PA-65.

Questions people ask

Can nonresident owners claim credit for the tax withheld?

Yes. Nonresident owners may claim a credit on their annual returns for tax withheld. They may also treat the income as subject to withholding when calculating other personal estimated taxes.

What rate does the final withholding worksheet use?

It multiplies the nonresidents’ total distributive shares of Pennsylvania-taxable income from Pennsylvania sources by 3.07% (0.0307), then accounts for applicable credits and withholding already paid.

Should I send in the withholding worksheet?

The worksheet is marked “Keep for Your Records.” It helps calculate and track withholding for the year.

What if I make more than six withholding payments?

Make a copy of the worksheet to record the additional payments.
