Renaissance Fund Organization Investment Reporting Form: Renaissance Fund Organization Investment Reporting Form (Revision 2013-12)
North Dakota · ND Tax Commissioner · Used for tax years 2024, 2025, 2026
North Dakota's Renaissance Fund Organization Investment Reporting Form reports qualified investments received by a renaissance fund organization and disqualifying redemptions. It also serves as the investor's evidence of an investment for purposes of the renaissance fund organiza
Who files this form
A renaissance fund organization (RFO) must use this form to report each qualified investment received from an eligible taxpayer for the RFO investment tax credit. The RFO also uses it to report a disqualifying redemption.
Eligible taxpayers include individuals, estates, trusts, partnerships, corporations, and limited liability companies. Government entities and tax-exempt organizations are not eligible taxpayers.
The RFO files the form. The investor keeps a copy as evidence of the investment.
When it's due
The RFO must complete this form within 30 days after either:
- Receiving an investment.
- A disqualifying redemption occurs.
If a disqualifying redemption causes a credit to be disallowed, the investor must repay it with the North Dakota tax return for the tax year in which the redemption occurred.

Common mistakes
- Reporting nonqualified investments: The instructions say to complete and file the form only for qualified investments, with a separate form for each investment received.
- Combining unrelated investors: Include only one eligible taxpayer per form unless married individuals made the investment jointly.
- Choosing the wrong LLC type: Check the entity type the LLC uses for federal income tax purposes.
- Leaving out the taxpayer identification number: Disclosure is mandatory. A missing Social Security number or federal employer identification number may delay or prevent processing.
- Reporting a redemption on the wrong form: Do not file an amended return or use Schedule RZ to report a disqualifying redemption. Contact the Office of State Tax Commissioner for instructions.
Questions people ask
How much is the tax credit?
The allowable credit is 50 percent of the total qualified investments made during the tax year. Credits exceeding the city or statewide maximum are not allowed.
When do I first claim the credit?
Claim it first in the tax year containing the investment date. That date is when the RFO receives the qualified investment and it is available for the RFO's use.
Can I carry forward unused credit?
If the allowable credit exceeds your tax liability, you may carry the unused credit forward for up to five tax years. For a passthrough entity, this carryover applies to its owners who are not themselves passthrough entities, not to the entity itself.
What is a disqualifying redemption?
It occurs when the original investor initiates a transaction with the RFO within 10 years of making the investment and receives cash or property in exchange for the investment interest. The credit is disallowed and must be repaid. A transfer to a third party or a redemption initiated by the RFO is not a disqualifying redemption.
