New Jersey · NJ Division of Taxation · Used for tax years 2025

New Jersey Form 315 calculates the allowable Alternative Minimum Assessment (AMA) Tax Credit for 2025 and the unused credit carried forward to the following year. It includes separate calculations for combined return filers and must accompany the corporation business tax return t

Who files this form

Include a completed Form 315 with your New Jersey CBT-100, CBT-100S, or CBT-100U return if you are claiming an AMA Tax Credit.

The credit is available for qualifying Alternative Minimum Assessment (AMA) liability that exceeded regular Corporation Business Tax (CBT) liability and was carried forward. The AMA must have been required and paid by the taxpayer.

  • New Jersey S corporations that formerly filed as C corporations and had an AMA liability may claim the credit on CBT-100S, subject to the same rules.
  • For a combined return, the member that earned the credit must complete Form 315.

What you'll need

Have the following return information available to complete Form 315:

  • Your name as shown on the return, federal ID number, and unitary ID number, if applicable.
  • The AMA Tax Credit carried forward from the prior year.
  • Other tax credits already applied to the current return.

CBT-100 and CBT-100S filers: Use the tax liability from page 1, line 2a, and New Jersey gross receipts to determine the required minimum tax. Affiliated or controlled group payroll information may also affect the minimum tax. An S corporation filing with its QSSS(es) uses the aggregate minimum tax from Schedule Q, Part I, line 1.

CBT-100U filers: Use Schedule A, Section II, Part III, lines 4a and 4b, column (c). Members not sharing the credit also need the combined group and member allocation factors from Schedule J, line 9.

How to file

Include the completed Form 315 with your CBT-100, CBT-100S, or CBT-100U return to validate the credit claim. The supplied text does not specify a mailing address or e-file procedure.

  • CBT-100 or CBT-100S: Complete Part I. Enter the allowable credit from line 9 on Schedule A-3, Part I, of your return. Line 10 calculates the carryforward.
  • CBT-100U: Check the combined return filers box and complete Part II, Section A. Do not complete Part I.
  • Combined members sharing the credit: Enter line 19 in the member’s column of Schedule A-3, Part I, of CBT-100U. Complete line 20 for the carryforward.
  • Combined members not sharing the credit: Fill in the nonsharing oval, skip line 20, and complete Section B as well as Section A. Enter line 28 in the member’s column of Schedule A-3, Part I, of CBT-100U. Line 29 calculates the carryforward.

Common mistakes

  • Claiming credit for AMA that was not required and paid. Both conditions must be met.
  • Using the credit against the Corporate Transit Fee. This is not allowed.
  • Leaving out credits already applied. List those credits on line 7, 17, or 26, as applicable, so the maximum allowable credit is calculated correctly.
  • Skipping Section A when a combined member does not share its credit. Nonsharing members must complete both Sections A and B and fill in the nonsharing oval.
  • Omitting the credit form. A completed Form 315 must accompany the return to validate the claim. The instructions also remind taxpayers to include the appropriate credit form in the year the credit was earned, even if they are not claiming it on that return.

Questions people ask

Does an unused AMA Tax Credit expire?

No. AMA Tax Credit carryforwards never expire, but there are limits on how much can be used on a single return.

How much credit can a CBT-100 or CBT-100S filer use?

The AMA credit, together with other tax credits, is limited to 50% of total tax liability. It also cannot reduce tax liability below the required statutory minimum.

Can a former C corporation claim the credit after becoming a New Jersey S corporation?

Yes. A New Jersey S corporation that formerly filed as a C corporation and had an AMA liability may take the credit on CBT-100S, subject to the same credit rules.
