1120-XSN: Amended S Corporation return (2025)
Nebraska · Nebraska DOR · Used for tax years 2025
Form 1120-XSN is the 2025 Amended Nebraska S Corporation Income Tax Return. It reports changes to previously reported income, Nebraska adjustments, taxes, credits, and payments, and calculates any balance due or refund.
Who files this form
S corporations use Form 1120-XSN to amend a Nebraska S corporation income tax return. Use it to:
- Report changes to income, deductions, or credits resulting from an IRS audit or an audit by another state.
- Report changes resulting from an amended return filed with the IRS or another state.
- Correct items on a previously filed Form 1120-SN or Form 1120-XSN.
- Elect to be subject to Nebraska income tax.
What you'll need
Have your original Nebraska return, any later adjustments, and supporting schedules for the changes you are reporting. Schedule A uses amounts from Schedule K of the amended federal Form 1120-S.
Depending on your changes and claims, the form calls for:
- Supporting schedules explaining every net change in Column B.
- A schedule for the premium tax credit and Form 3800N for the nonrefundable credit on line 9.
- Form 1099-NEC for Nebraska income tax withheld on line 25.
- Form PTC for the community college property tax credit.
- Nebraska Schedules K-1N for PTET credit received from an electing partnership.
- A copy of recalculated Form 2220N if you recalculate the estimated income tax underpayment penalty as allowed by the instructions.
- Power of Attorney, Form 33, if a corporate officer authorizes someone else to sign. It must be on file with the Nebraska Department of Revenue or attached to the return.
How to file
- Enter the corporation's identifying information and complete the applicable checkboxes.
- In Column A, enter the amounts originally reported or later adjusted. In Column B, enter the net changes. Explain each change in detail in the Explanation of Changes section and attach supporting schedules.
- In Column C, enter the corrected amounts. If an amount did not change, carry over the amount from Column A.
- Complete page 2 and the applicable schedules. Have a corporate officer sign the return, or use an authorized signer with Form 33 on file or attached. A paid preparer must also sign and provide the required identifying information.
- File the amended return separately from the corporation's annual return.
Mail the return and payment to:
Nebraska Department of Revenue
PO Box 94818
Lincoln, NE 68509-4818
If you make the payment electronically, check the box on line 36.
Common mistakes
- Leaving the foreign adversarial company question unanswered. The instructions warn that this will result in denial or delay in processing claimed credits.
- Completing Schedule II when it should be skipped. Do not complete it if box 4 is checked or Nebraska source income has decreased.
- Using Schedule PTET without an election. Use this schedule only if the S corporation elected to be subject to income tax.
- Claiming a partnership PTET credit that is being distributed to shareholders. If distributing the credit, leave line 27 blank and include each shareholder's share on their Nebraska Schedule K-1N.
- Ignoring an overpayment from the original return. Include it on line 30, as originally reported or later adjusted. Any refund claimed on the original return is refunded separately from an additional refund claimed on the amended return.
Questions people ask
Can the corporation get a refund when its nonresident shareholders' Nebraska source income decreases?
The corporation will not receive a refund of income tax withholding due with its original return because of that decrease. The individual shareholders may file claims for refunds resulting from the reduced Nebraska source income.
What does checking box 4 mean?
It means the S corporation previously elected or is currently electing to be subject to Nebraska income tax. The election applies to this return and all subsequent returns filed for the same tax year. Complete Schedule PTET when box 4 is checked.
Can a refund be deposited electronically?
Yes. Complete lines 38a, 38b, and 38c with the routing number, account type, and account number. Check line 38d if the refund will go to a bank account outside the United States.
Can I opt out of email contact?
Yes. Write “Opt Out” on the email address line if you do not want the Nebraska Department of Revenue to contact you by email.
