M8X: Amended S Corporation Return (2024)

Minnesota · Minnesota DOR · Used for tax years 2024

Form M8X is used to amend a previously filed 2024 Minnesota S Corporation Return, Form M8. It reports previously reported amounts, net changes, and corrected amounts for taxes, fees, withholding, credits, and payments, and calculates any additional amount due or refund.

Who files this form

S corporations must use Form M8X to correct an original Minnesota Form M8, S Corporation Return. Use the 2024 version to amend a 2024 return. For another tax year, use that year's Form M8X.

You must file an amended Minnesota return if the IRS changes or audits your federal return, or if you amend your federal return. Form M8X also lets you claim a refund and report changes to your Minnesota tax liability.

File Form M8X only after filing your original return.

What you'll need

Have these records ready:

  • Your original Minnesota Form M8 and any later amended returns or audit adjustments.
  • The Form M8 instructions for the year you are amending.
  • A separate statement explaining each change, with detailed calculations.
  • Corrected schedules for any amounts affected by your changes.
  • A complete copy of your amended federal Form 1120S, if any. For an IRS adjustment, attach your amended federal return or the IRS correction notice.

Include supporting items that apply to your return, such as the S corporation tax computation, Schedule PTE, Schedules KS, Schedule ETP, Schedule EPC, and the credit certificate numbers requested on the form.

For direct deposit, have your bank routing and account numbers ready. The account must not be associated with any foreign banks.

How to file

  1. Enter the corporation's identifying information and the beginning and ending dates of the tax year being amended. Check the applicable boxes, including the reason for amending.
  2. For lines 1 through 16, enter previously reported or adjusted amounts in column A, changes in column B, and corrected amounts in column C. Show decreases in parentheses. Leave column B blank where there is no change.
  3. Complete the remaining lines and attach your explanation, calculations, and required supporting documents.
  4. Have the principal officer sign the return. If someone else prepared it, the preparer must also sign and include their PTIN and phone number.

Common mistakes

  • Missing signatures: The principal officer must sign. A paid preparer must also sign and enter their PTIN and daytime phone number.
  • Missing changes or explanations: Enter each change in column B and explain it in an attached statement. Omitting a changed amount delays processing.
  • Using staples or tape: Do not staple or tape enclosures to the return.
  • Incorrect rounding: Round to the nearest dollar. Round amounts below 50 cents down and amounts of 50 cents or more up.
  • Including the wrong amounts on lines 17 and 19: Do not include penalty, interest, or estimated-tax underpayment amounts on line 17. Do not include refund interest on line 19.
  • Trying to change restricted items: Estimated payments and refunds credited to later years cannot be changed after the original return is filed. Form AWC can only be filed with the original return.
  • Leaving additional tax and interest unpaid: A penalty will be assessed if they are not paid with the amended return.

Questions people ask

Can I receive my refund by direct deposit?

Yes. Complete line 27 with your checking or savings account information. Use an account not associated with any foreign banks. Otherwise, you will receive a check. The refund cannot be applied to your estimated tax account.

Do shareholders need to amend their returns?

For changes involving PTE tax or nonresident withholding, the corporation should provide enough information for shareholders to file accurate amended returns. This may include amended federal Schedules K-1 and Schedules KS. Shareholders must amend their income tax returns to reflect these changes and calculate the change in tax due.

Will Form M8X show my full balance if I still owe tax on the original return?

No. If you have unpaid taxes on your original Form M8, Form M8X is not intended to show your corrected balance due. Lines 21 and 26 reflect changes to tax or credits reported on the amended return.

What if I amended my 2024 federal return only because of H.R. 1?

If the amendment was solely due to the 2025 Federal Tax Budget and Reconciliation Bill (H.R. 1), the Minnesota nonconformity adjustment offsets the changes to federal taxable income. Write “H.R. 1” in red at the top of the amended return and the amended Schedules KS issued to shareholders. See the Form M8 instructions for more details.
