M3X: Amended Partnership Return Claim for Refund (2024)

Minnesota · Minnesota DOR · Used for tax years 2024

Form M3X is used to amend a previously filed 2024 Minnesota partnership return and claim a refund. It reports previously reported amounts, net changes, and corrected amounts for taxes, fees, credits, and payments to determine the amount due or refund.

Who files this form

Partnerships must use Form M3X to correct an original Minnesota partnership return. Use the 2024 Form M3X to amend a 2024 return. For another tax year, use that year's Form M3X.

Use this form to report changes to Minnesota tax liability or claim a refund. File it only after filing the original return.

An amended Minnesota return is also required if the IRS changes or audits your return, you amend your federal return, or you file an administrative adjustment request (AAR) with the IRS.

What you'll need

  • The M3 instructions for 2024 and your original return, along with any later amended returns or audit adjustments used to determine previously reported amounts.
  • A separate, detailed explanation of each change, including computations.
  • Corrected schedules and related forms for amounts you change. Enclose your list of changes and amended schedules.
  • A complete copy of your amended federal Form 1065, if any. For an IRS adjustment, attach a complete copy of the amended federal return or the IRS correction notice.
  • Applicable supporting schedules, such as Schedule PTE for changes to the PTE tax calculation, Schedules KPI for composite income tax, Schedule M3BBA for the partnership-pays election, Schedule ETP for the Employer Transit Pass Credit, and Schedule EPC for the Enterprise Zone Credit.
  • Credit certificate numbers, if claiming the Film Production Tax Credit, Tax Credit for Owners of Agricultural Assets, or State Housing Tax Credit.
  • Bank routing and account numbers, if requesting direct deposit.

How to file

  1. Enter the partnership's identifying information and the beginning and ending dates of the 2024 tax year being amended. Check the reason for amending. For an IRS adjustment, check that box and enter the final determination date.
  2. For lines 1 through 16, enter previously reported or adjusted amounts in Column A, each increase or decrease in Column B, and corrected amounts in Column C. Show decreases in parentheses. Leave Column B blank where nothing changed, and carry Column A into Column C for those lines.
  3. Attach the explanations, computations, and required supporting documents.
  4. Have a general partner sign the return. A paid preparer must also sign and provide the required identifying and contact information.
  5. Mail the return to:

Common mistakes

  • Using staples or tape. Do not staple anything you submit or tape enclosures to the return.
  • Leaving changes unexplained. Enter each changed amount, explain it in detail, and attach corrected schedules. Missing changed amounts will delay processing.
  • Forgetting signatures. The filing reminders require a general partner's signature and a paid preparer's signature when applicable.
  • Not rounding to whole dollars. Round amounts below 50 cents down and amounts of 50 cents or more up to the next dollar.
  • Trying to change estimated payments or refunds credited to later years. These cannot be changed after the original return is filed.
  • Submitting Form AWC with an amended return. It can only be filed with the original return. Later submissions will be denied.
  • Including penalties or interest on line 17. Do not include penalty, interest, or underpayment-of-estimated-tax amounts there. Do not include refund interest on line 19.
  • Not paying additional tax and interest with the amended return. The instructions warn that a penalty will be assessed.

Questions people ask

Can I apply an M3X refund to estimated taxes?

No. The refund cannot be applied to your estimated tax account.

Does Form M3X show my total corrected balance if I still owe tax on the original return?

No. Lines 21 and 25 reflect changes to tax or credits reported on lines 1 through 16. If your original Form M3 has unpaid taxes, Form M3X is not intended to show your corrected balance due.

Do partners need information about the changes?

Yes. The partnership should provide enough information for partners to file accurate amended income tax returns. This may include amended federal Schedules K-1 and Schedules KPI. Partners must amend their income tax returns to reflect these changes and calculate the change in tax due.

What happens if my direct deposit information is wrong?

If the routing or account number is incorrect or is not accepted by your financial institution, your refund will be sent as a paper check. The routing number must have nine digits. The account number may contain up to 17 numbers and letters, without hyphens, spaces, or symbols.

Can I authorize the department to discuss the return with my preparer?

Yes. Check the authorization box on the return. This does not authorize the preparer to sign tax documents for you, represent you at an audit or appeals conference, or discuss abatement progress. Those authorities require Form REV184b, Business Power of Attorney.
