Who files this form
Form 4752 is the 2025 Michigan Business Tax combined filing schedule for financial institutions in a Unitary Business Group (UBG).
In Part 1, list the UBG members whose activity is included on the combined return, starting with the Designated Member. Include members with or without Michigan nexus, except those excluded in Part 3.
What you'll need
Have the information requested by the form available:
- The Designated Member’s name and FEIN or TR Number, plus identifying information for each member.
- Each member’s organization type, address, federal tax period, NAICS code, membership dates if a part-year member, and Michigan nexus and MBT registration status.
- A description of the business activities connecting the members.
- Michigan and total gross business amounts, including eliminations.
- Member financial figures for the applicable years shown, 2021 through 2025, including equity capital, eliminations, goodwill, and Michigan and U.S. obligations.
- Applicable credit carryforwards, prior-return overpayments, estimated payments, and tax paid with an extension request.
- Information about excluded affiliates and persons included in the preceding combined return but not the current return.
Attach a copy of federal Form 851 if any persons listed in Part 3 belong to a federal consolidated group.
Common mistakes
- Not reading the instructions first. The form specifically says to read them before completing it.
- Repeating the Designated Member incorrectly on extra pages. If Part 1 needs more than one page, repeat the Designated Member’s name and identification number at the top, but not on line 1. Repeat the answers for lines 2 and 3 on every copy of that page.
- Missing a member’s Part 2B. Complete a separate Part 2B for every member listed in Part 1.
- Entering amounts with the wrong sign. Enter zero on lines 16 and 18 through 20 if the amount is negative. Enter eliminations on line 17 as a positive number. Also enter zero on line 22d if the result is negative.
- Filling in lines that must be skipped. Do not enter amounts on lines 26, 27, or 35.
- Listing a person in only one exclusion section when both apply. A person who meets the criteria for both Part 3 and Part 4 must appear in both.
