PTE-12: Schedule for Pass-through Owners and Instructions 2025 (2025)

Idaho · Idaho Tax Commission · Used for tax years 2025

Form PTE-12 is a reconciliation schedule included with a pass-through entity’s Idaho income tax return. It lists each owner’s information, filing code, and Idaho distributable income, along with any composite income tax, income tax withholding, or affected business entity tax pai

Who files this form

Pass-through entities must include Form PTE-12 with their Idaho income tax return, Form 41S, 65, or 66. It is the reconciliation schedule for pass-through owners.

A pass-through entity includes a partnership, an LLC taxed as a partnership, an S corporation, or a trust or estate. An entity doing business in Idaho with income taxable in Idaho has reporting requirements for each owner type.

Include complete information for every owner, whether the owner has Idaho distributable income or a loss. If you file Form 66, refer to that form’s specific instructions for help completing PTE-12.

What you'll need

Have the following information available:

  • The entity’s name, EIN, and tax-year beginning and ending dates.
  • A contact person’s name, phone number, and email address.
  • Each owner’s name and corresponding Social Security number or EIN as shown on the Idaho income tax return, plus their address.
  • Each owner’s Idaho distributable income from Form ID K-1, line 34. For partnerships, this includes guaranteed payments sourced to Idaho.
  • Any composite tax, withholding, or affected business entity (ABE) tax paid for each owner, as applicable.

If you use filing code A, the entity must have received and approved the owner’s signed Form PTE-NROA. If you report withholding, use the amounts paid on Forms PTE-01 to check the total.

How to file

Include Form PTE-12 with the entity’s Idaho Form 41S, 65, or 66. The supplied text does not give a mailing address or e-file instructions.

  1. Complete the entity and contact information at the top.
  2. List one owner per line, with their identifying information and address.
  3. Enter the appropriate filing code in column (a):
  • R: Idaho resident or part-year resident individual.
  • N: Corporations, partnerships, trusts, and estates, or nonresident individuals with Idaho distributable income below $1,000, as described in the instructions.
  • A: Nonresident individual with an owner agreement the entity received and approved.
  • C: Nonresident individual included in a composite return.
  • W: Nonresident individual for whom the entity pays withholding using Form PTE-01.
  • E: Entity elected to pay tax at the entity level. This code must apply to all owners.
  1. Enter Idaho distributable income in column (b) for every filing code. Complete column (c) for code C, column (d) for code W, or column (e) for code E. For codes R, N, and A, complete only columns (a) and (b).
  2. Total columns (b), (c), (d), and (e). If you use more than one schedule, enter the totals only on the last page.

Do not send payments or Forms PTE-01 with the entity return.

Common mistakes

  • Leaving out owners with losses. Include complete information for every owner, even if they have a loss.
  • Using code E for only some owners. If you use code E, it must apply to all owners.
  • Using composite reporting or withholding for ineligible owners. Resident and part-year resident individuals cannot be included in a composite return and are not subject to withholding. Code C is limited to qualifying nonresident individuals, and code W cannot be used to pay withholding for another entity.
  • Using code A without an approved agreement. Code A confirms that the entity received and approved the owner’s agreement. The entity is liable for tax due if the owner does not file and pay as agreed.
  • Reporting a withholding total that does not match payments. Column (d) must match the total paid on Forms PTE-01.
  • Sending payments or Forms PTE-01 with the entity return. The instructions specifically say not to do this.
  • Repeating totals on multiple schedules. Put totals on the last page only.

Questions people ask

What if a nonresident individual owner has less than $1,000 of Idaho distributable income?

Use code N and complete only columns (a) and (b). The owner is not included in a composite return and is not subject to withholding. They must report the income on an Idaho return if they have other Idaho reporting requirements.

What options are listed for nonresident individuals with at least $1,000 of Idaho distributable income?

The instructions list withholding using Form PTE-01, inclusion in a composite return, or a signed Form PTE-NROA received and approved by the entity. For tax year 2025, the stated withholding and composite tax rates are both 5.3%.

Who counts as an individual under these instructions?

The definition includes natural persons, grantor trusts, qualified subchapter S trusts, and single-member LLCs that have not elected corporate classification and are treated as disregarded entities for federal purposes.

What goes in column (e) for ABE tax?

For an S corporation, multiply the entity’s ABE tax paid by the member’s ownership percentage. For a partnership, multiply it by the member’s distributive share of income, including guaranteed payments. Enter zero for an exempt entity member.
