DR 0106: Partnership and S Corporation Income Tax Return (form only) (2025)

Colorado · Colorado DOR · Used for tax years 2025

DR 0106 is the Colorado Partnership and S Corporation Income Tax Return. It reports Colorado income tax liability, payments, and credits, including tax paid through a composite return for nonresident partners or shareholders or under a SALT Parity Act election.

Who files this form

Every partnership and S corporation must file DR 0106 for any year it does business in Colorado. The text refers to Rule 39-22-301(1) for the criteria for doing business in Colorado.

An entity treated as a partnership for federal income tax purposes is also treated as a partnership for Colorado income tax purposes. This includes an LLC classified as a partnership for federal tax purposes.

When it's due

For the 2025 tax-year return, the text gives these deadlines:

  • File and pay: The fifteenth day of the fourth month after the tax year closes, or April 15 for calendar-year filers.
  • Filing extension: An automatic six-month extension, or until October 15 for calendar-year filers. This does not extend the payment deadline. Use DR 0158-N to make an extension payment before filing.
  • Weekend or legal holiday: If the due date falls on a weekend or legal holiday, the return is due the next business day.
  • Colorado K-1s: Give each partner or shareholder a copy by the return due date, including extensions, and no later than the date the K-1s are filed with the Department. Transmit copies to the Department when filing the return.

What you'll need

Have these records and forms ready:

  • Business information: Legal name, any trade name, mailing address, eight-digit Colorado Account Number, FEIN, business activity, organization or incorporation date, and year-end number of partners or shareholders.
  • Federal return information: Form 1065 or 1120-S, including the Schedule K and Schedule L information used to complete DR 0106.
  • Colorado K-1s (DR 0106K): Complete one for every partner or shareholder and file copies with the Department.
  • DR 0106CR: Every partnership and S corporation must submit this completed credit schedule with its return.
  • Payment records: Estimated payments, extension payments, and any 2024 overpayment carried forward to 2025.

How to file

You can file and pay through the Department's free, secure system at Colorado.gov/RevenueOnline, using a computer, smartphone, or tablet. The text also allows filing through e-file software or a paid tax preparer.

The return must be signed by a partner authorized to act for the partnership or an officer authorized to act for the S corporation. If a paid preparer completed it, enter the preparer's name and phone number.

If you cannot file electronically, mail the return with the required supporting forms, schedules, and documentation.

Common mistakes

  • Sending an incomplete paper return. The text warns that missing supporting forms, schedules, or documentation will delay processing.
  • Treating the filing extension as extra time to pay. No payment extension is available. Interest applies to an unpaid tax balance paid after the original due date.
  • Completing both Part II and Part III. A partnership or S corporation may file a composite return or make a SALT Parity Act election, but it may not do both.
  • Leaving unchanged items off an amended return. Complete every field and resubmit all schedules and supporting documentation, even if nothing changed in those items.
  • Overlooking prepayments. The text says to carefully review payment records when completing line 25.
  • Entering incorrect direct-deposit details. Confirm the information with your financial institution. Account numbers may include hyphens, but not spaces or special symbols.

Questions people ask

How do I correct a return I already filed?

Complete a new DR 0106 and check the “Amended Return” box. Fill in every field and include all schedules and supporting documentation, even those unchanged from the original return.

How do I make a SALT Parity Act election?

Check box I on DR 0106. The election can also be made through DR 1705 or the election box on DR 0106EP filed with an estimated payment. Check box I even if you previously elected through one of those forms. Complete Part III, not Part II, and mark the SALT Parity Election box on every Colorado K-1.

Does every partner or shareholder need a Colorado K-1?

Yes. Prepare a DR 0106K for each partner or shareholder for each tax year, provide each person a copy, and file the completed K-1s with the Department.

Can a refund be deposited into a bank account?

Yes. Enter the routing number, account number, and account type to authorize direct deposit. Otherwise, a refund check will be mailed to the address on the return. The Department will intercept a refund if you owe taxes or other debts to Colorado or the IRS.
