568: Limited Liability Company Return of Income (2025)

California · FTB · Used for tax years 2025

California Form 568 is the Limited Liability Company Return of Income for 2025. It reports an LLC’s total income, LLC fee, annual tax, other applicable taxes, payments, and any balance due or overpayment.

What you'll need

Have the following information ready:

  • The LLC’s name, address, California Secretary of State file number, and federal employer identification number (FEIN).
  • The accounting method, date business started in California, year-end total assets, and principal business activity code.
  • Income, deduction, tax payment, prior-year credit, and withholding amounts. Line 11 refers to Forms 592-B and/or 593 for withholding.
  • Member information, including the maximum number of members during the year.

Attachments depend on the LLC’s activities. Examples printed on the form include:

  • Multiple-member LLCs: A California Schedule K-1 (568) for each member covered by Question K.
  • Depreciation and amortization: Form FTB 3885L.
  • Farm profit or loss: Federal Schedule F (Form 1040).
  • Rental real estate income or loss: Federal Form 8825.
  • Capital gains or losses: Schedule D (568).
  • Reportable or listed transactions: Federal Form 8886 for each transaction.
  • A beneficial interest in a trust, or status as a trust grantor: A schedule of trusts and federal identification numbers.

The form also calls for supporting schedules or explanations for certain other entries.

Common mistakes

  • Skipping Schedule IW: Complete it first to determine Side 1, line 1.
  • Including the wrong income on Schedule IW: Use only income derived from or attributable to California. Do not include amounts another LLC has already reported to determine its fee.
  • Entering a negative Schedule IW total: Line 17 cannot be negative. Enter zero if the result is less than zero.
  • Leaving the business activity code blank: Question J specifically says not to leave it blank.
  • Mixing other income into Schedule B: Lines 1a through 22 are only for trade or business income and expenses.
  • Treating use tax as a total: Side 1, line 13 is not a total line.
  • Stapling a payment: Enclose any payment, but do not staple it.
  • Using cents where whole dollars are required: Follow the form’s “Whole dollars only” reminders.

Questions people ask

Who signs Form 568?

An authorized member or manager signs and dates the return on Side 3.

Does a disregarded LLC still need to complete Schedule IW if it does not have to complete Schedule B or Schedule K?

Yes. Schedule IW says disregarded entities that do not meet the filing requirements for Schedule B or Schedule K should complete Schedule IW using California amounts attributable to the entity from the member’s federal schedules.

When do I complete the Single Member LLC Information and Consent section?

Complete this section on Side 3 only if the LLC is disregarded. It asks for the sole owner’s information, the ultimate owner’s entity type, and a signed consent statement.

Can an overpayment be credited to the next year?

Yes. On the 2025 form, line 18 lets the LLC apply an amount from line 17 to its 2026 tax or fee. Line 19 calculates the remaining refund by subtracting line 18 from line 17.
